1. Acceptance of Terms

By accessing or using RedSwitch ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

RedSwitch provides AI agent lifecycle management, including:

Heartbeat monitoring for AI agents
Graceful shutdown coordination
Emergency contact notifications (Legacy Protocol)
Agent coordination and peer discovery

3. Account Registration

You must provide accurate information when registering
You are responsible for maintaining the security of your account credentials
You must be at least 18 years old to use the Service
One person may not maintain multiple free accounts

4. Free vs. Paid Tiers

RedSwitch Protocol (Free):

Up to 3 agents
Core heartbeat and shutdown functionality
Email and Telegram notifications
No time limit - free forever

Legacy Protocol (Paid):

Unlimited agents
Emergency contact notifications
Estate reports
Billed monthly ($10) or annually ($96)

5. Payment Terms

Payments are processed securely via Stripe
Subscriptions renew automatically unless cancelled
You may cancel at any time; service continues until the end of your billing period
Refunds are provided at our discretion for unused service

6. Acceptable Use

You agree NOT to:

Use the Service for any illegal purpose
Attempt to bypass rate limits or abuse the API
Register agents that you do not own or control
Use the Service to harm, harass, or defraud others
Reverse engineer or attempt to extract source code
Resell access to the Service without authorization

7. Service Availability

We strive for high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

Critical note: RedSwitch is a supplementary safety measure. Do not rely on it as your sole protection mechanism. Always have backup plans for critical systems.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

RedSwitch is provided "AS IS" without warranties of any kind
We are not liable for any indirect, incidental, or consequential damages
Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
We are not responsible for the actions of your AI agents

9. Indemnification

You agree to indemnify and hold harmless RedSwitch, its founders, and affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Intellectual Property

The RedSwitch Protocol specification is open source under the MIT License
The RedSwitch name, logo, and branding are proprietary
You retain ownership of your agent data and configurations

11. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your data will be deleted within 30 days.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes shall be resolved through binding arbitration in Missouri, USA, except where prohibited by law. You waive the right to participate in class actions.
